Driver Services Agreement

I. Introduction and Eligibility
This agreement is a legally binding contract. It may be updated at any time. You agree to review and acknowledge it and any updates regularly. Continued use of the Service means you accept any future changes.
Binding Agreement. These Terms constitute a binding agreement between you and SafeRide, Inc. and its affiliates and subsidiaries (“SafeRide,” “Company,” “we,” “us”, “Service”). “You” and “users” shall mean all users of the Service. You accept these Terms each time you access the Service. If you do not accept these Terms, you may not be allowed access to the Service.
Revisions to Terms. SafeRide reserves the right to revise these Terms at any time by issuing an updated version. You acknowledge and agree to periodically review the most current version of the Terms because you are bound by them. Your continued use of the Service after a change to these Terms constitutes your binding acceptance of these Terms. The terms “post” and “posting” as used in these Terms shall mean the act of submitting, transmitting, sharing, uploading, publishing, displaying, or similar action by the Service.
II. Driver Requirements
You acknowledge and agree that at all times, you shall: (a) hold and maintain (i) a valid driver’s license with the appropriate level of certification to operate your vehicle, and (ii) all licenses, permits, approvals and authority applicable to you that are necessary to provide passenger transportation services to third parties in the Territory; (b) possess the appropriate and current level of training, expertise, and expertise to provide transportation services in a professional manner with due skill, care, and diligence; and (c) maintain high standards of professionalism, service and courtesy.
You acknowledge and agree to a background check. You acknowledge and agree to be fingerprinted. You acknowledge and agree that you may be subject to certain background and driving record checks if necessary to qualify to provide, and remain eligible to provide transportation services for the Company.
Both requirements are fulfilled if you have been issued a Public Service Commission (PSC) license by the State of Maryland.
You acknowledge and agree to be professionally dressed and well-groomed when representing SafeRide. You agree and acknowledge that professional dress shall include but is not limited to: (a) dress slacks, (b) dress shirt, (c) sport jacket preferred but not required, (d) dress shoes, (e) suits for formal events. Prohibited dress shall include but is not limited to: (a) denim jeans, (b) flannel and casual t-shirts, (c) casual sneakers.
You acknowledge and agree that you shall not smoke in or near the Vehicle. You acknowledge and agree that smoking shall include but is not limited: (a) cigarettes, (b) electronic cigarettes, (c) vaporizers, and (d) chewing tobacco. You acknowledge and agree never to consume alcohol while representing SafeRide. You acknowledge and agree you shall not consume drugs while representing SafeRide, including but not limited to drugs that may impair your ability to operate a vehicle or are otherwise illegal or illicit.
You acknowledge and agree that SafeRide reserves the right, at any time in the Company’s sole discretion, to deactivate or otherwise restrict you from accessing or using the Driver App or SafeRide Services if you fail at any time to meet the requirements set forth in this Agreement.
III. Vehicle Requirements
You acknowledge and agree that your vehicle at all times shall be: (a) properly registered and licensed to operate as a passenger transportation vehicle in the Territory; (b) owned or leased by you, or otherwise in your lawful possession; (c) suitable for performing passenger transportation services contemplated by this Agreement and the Company; and (d) maintained in good operating condition, consistent with industry safety and maintenance standards for a Vehicle of its kind and any additional standards or requirements in the applicable Territory, and in a clean and sanitary condition.
You acknowledge and agree that the above-mentioned standards include but are not limited to insuring that the Vehicle shall be: (a) washed on a regular basis, (b) vacuumed on the inside, (c) cleared of any and all trash in cup holders and passenger areas, (d) wiped down and clean with no cracked or split interior surfaces. You acknowledge and agree to maintain and provide bottled water in the Vehicle and available to passengers upon request.
You acknowledge and agree to maintain during the term of this Agreement on all Vehicles operated by you under this Agreement, commercial automobile insurance with minimum coverage of $1,500,000 (USD) required for interstate carriers, which provides protection against bodily injury and property damage to third parties in the amount of $300,000 (USD) and liability of $500,000 (USD). You acknowledge and agree to maintain a lawful copy of your insurance policy in accordance with Maryland provision FMCSR, Part 387 and provide the Company and its Affiliates a copy of the insurance policy, policy declarations, proof of insurance identification card and proof of premium payment for the insurance policy required upon request.
You acknowledge and agree to provide Company with written notice of cancellation of any insurance policy required by Company. Company shall have no right to control your selection or maintenance of your policy. You must be a named insured or individually rated driver, for which a premium is charged, on the insurance policy required.
You acknowledge and agree that Company will supply you with Company Devices and provide the necessary wireless data plan for such Devices. You acknowledge and agree that: (a) Company Devices may only be used for the purpose of enabling your access to Company Services; and (b) Company Devices may not be transferred, loaned, sold or otherwise provided in any manner to any party other than you. Company Devices shall at all times remain the property of Company, and upon termination of this Agreement or your termination or deactivation, you agree to return to Company the applicable Company Devices within ten (10) days. You agree that failure to timely return any Company Devices, or damage to Company Devices outside of “normal wear and tear,” shall result in a direct cost to the Driver.
You acknowledge and agree that Company will provide tracking of services provided by Driver for both the Client and SafeRide. You acknowledge and agree that SafeRide will retain 18% of client charges for marketing and administrative costs. You acknowledge and agree that all tips and gratuities will be paid in full to the Driver. SafeRide agrees that funds shall be remitted via direct deposit to Driver’s associated account each Friday at 4:00 PM.
You acknowledge and agree that SafeRide reserves the right to assess an additional fee of 10% for any user ride that is deemed late upon pickup. You acknowledge and agree that SafeRide reserves the right to assess an additional fee of 18% for any missed user pickup without advanced notice. You acknowledge and agree that SafeRide reserves the right to restrict or forfeit access to future ride scheduling, including but not limited to late arrival or missed pickup without advanced notice.
You acknowledge and agree that any client assigned to you by SafeRide is a client of the Company. You acknowledge and agree that you shall in no way solicit users or otherwise appropriate user information for service outside the Company platform or otherwise scheduled rides with users.
You shall not, and shall not allow any other party to: (a) license, sublicense, sell, resell, transfer, assign, distribute or otherwise provide or make available to any other party SafeRide Services, Driver Application or any Company Device in any way; (b) modify or make derivative works based upon SafeRide Services or Driver Application; or (c) improperly use SafeRide Services or Driver Application.
In addition, you shall not, and shall not allow any other party to, access or use SafeRide Services or Driver Application to: (a) design or develop a competitive or substantially similar product or service; (b) copy or extract any features, functionality, or content thereof; (c) or unduly burden or hinder the operation and/or performance of SafeRide Services; or (iv) attempt to gain unauthorized access to SafeRide Services or its related systems or networks.
VIII. Proof of Documentation
In accordance with the above terms and conditions you acknowledge and agree to furnish the Company, and upon request its Affiliates: (1) a copy of valid driver’s license, (2) copy of PSC license or equivalent, (3) copy of last 5 years driving record, (4) copy of vehicle registration, (5) copy of State inspection of vehicle, (6) copy of Auto insurance declaration page, (7) copy of cancelled check for deposit, and (8) W-9 filled out with either social security number or EIN number if corporation.
